Terms of Service

Please read these Terms of Service ("Terms") carefully before using governarcai.ai (the "Site") or engaging GovernarcAI LLC ("GovernarcAI," "we," "us," or "our") for any services. By accessing the Site or submitting an intake form, you agree to be bound by these Terms.

1. Services

GovernarcAI provides AI agent design, specification, and delivery services ("Services"). The specific scope, deliverables, timeline, and pricing for any engagement are governed by a separate Engagement Agreement and Statement of Work.

Submission of an intake form does not create a binding engagement. An engagement is formed only upon execution of a signed Engagement Agreement between both parties.

2. Use of the Site

You agree not to:

• Submit false, misleading, or fraudulent information through any form or communication
• Attempt to gain unauthorized access to any part of the Site or GovernarcAI's systems
• Use the Site to transmit malware, spam, or harmful code
• Scrape, copy, or reproduce Site content without written permission
• Impersonate GovernarcAI, its employees, or any other person or entity
• Submit sensitive, regulated, or confidential data through the intake form as described in Section 4

3. Intellectual Property

All content on this Site — including text, design, graphics, logos, methodology descriptions, and the GovernarcAI name and trademark — is the exclusive property of GovernarcAI LLC and is protected by applicable intellectual property laws.

The Governed Agent Framework (GAF), including its methodology, architecture, phase structure, instruction blocks, registries, templates, and all related materials, is a proprietary trade secret of GovernarcAI LLC. Nothing on this Site grants any license, right, or interest in GovernarcAI's intellectual property.

4. Sensitive Data Prohibition

You agree NOT to submit the following prior to execution of a formal engagement agreement:

• Protected Health Information (PHI) or HIPAA-covered data
• Personally identifiable information about third parties, customers, or employees
• Financial account numbers, Social Security numbers, or government identifiers
• Confidential, classified, or NDA-covered material
• API keys, credentials, passwords, or proprietary source code

If you inadvertently submit such data, notify us immediately at support@governarcai.com.

5. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GOVERNARCAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOVERNARCAI LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THIS SITE.

GOVERNARCAI'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE SITE (EXCLUDING LIABILITY UNDER A SIGNED ENGAGEMENT AGREEMENT) SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

7. Indemnification

You agree to indemnify, defend, and hold harmless GovernarcAI LLC and its members, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from your use of the Site, violation of these Terms, or submission of prohibited data.

8. Third-Party Links and Services

The Site may contain links to third-party websites. GovernarcAI does not endorse and is not responsible for the content, privacy practices, or availability of third-party sites.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, available at governarcai.ai/privacy, incorporated into these Terms by reference.

10. Communications

By submitting an intake form, you consent to receiving communications from GovernarcAI related to your inquiry. You may opt out of marketing communications at any time by contacting support@governarcai.com.

11. No Professional Advice

Content on this Site is for informational purposes only and does not constitute legal, financial, technical, or professional advice. Nothing on this Site creates a professional relationship.

12. Modifications to These Terms

GovernarcAI reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Site constitutes acceptance.

13. Termination

GovernarcAI reserves the right to restrict or terminate your access to the Site at any time without notice. Sections 3, 5, 6, 7, and 14 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Mexico. Disputes shall be resolved exclusively in the state or federal courts located in New Mexico.

Before initiating any legal proceeding, you agree to contact support@governarcai.com and provide thirty (30) days to resolve the dispute informally.

15. Entire Agreement

These Terms, together with the Privacy Policy and any executed Engagement Agreement, constitute the entire agreement between you and GovernarcAI regarding your use of the Site.
